1. Introduction

This Distribution Agreement ("Agreement") is entered into by you ("Artist", "Label", "You") and Last Play Distro ("we", "us", "our") and applies to the distribution of your music via our platform. It ensures your creative rights are protected, revenue models are clear, and both parties' responsibilities are transparent.

2. Grant of Rights

You grant Last Play Distro a non-exclusive, worldwide right to distribute, publicly perform, and promote your submitted music, artwork, and metadata on partner platforms and services.
You retain full ownership and copyright of your content at all times.
You can use other distributors. We cannot assign these rights to others beyond intended music delivery unless legally required.

3. Artist / Label Representations

You warrant that you own, or have valid licenses for, all music, recordings, artwork, or other content uploaded.
You are above 18. If you are a minor, you confirm parental/legal guardian consent as per Indian law; accounts of users under 18 may require extra verification or signed consent forms.
You will not submit defamatory, illegal, AI-deepfaked, or copyright-infringing material, nor engage in fake streaming, click fraud, or prohibited promotional activity.

4. Revenue, Royalties & Payouts

You receive royalties based on your plan (60% Free · 85% Artist · 95% Label) of net revenue after platform, currency, tax/bank charges. All deductions will be transparently shown on your dashboard.
Payments are made monthly within 30 days after earnings cross the minimum payout threshold shown in your dashboard, using the supported payment method configured in your account.
"Net revenue" = gross income minus digital stores'/DSPs' fees, applicable taxes, and all banking/service charges.
Payout/income reports will be accessible in your artist dashboard. If a DSP flags or reclaims revenue due to fraud, the discrepancy may be deducted retroactively.

5. Content Takedown & Removal

You may request content removal at any time via dashboard or email. We will process removals within 7 working days (unless held up by DSP/label policies).
We may remove your content to comply with law, platform rules, or this agreement, including for detected copyright or legal complaints or policy breaches.

6. Data & Privacy

We collect your personal and metadata (music info, user profile, payment details) only to the extent required to deliver and report your music and royalties.
All data is stored securely as per applicable Indian IT Act/GDPR. We never sell your data. You may request account deletion and data export anytime via support.
Basic aggregated analytics data may be shared with partners strictly for music distribution purposes.

7. Warranties & Indemnification

You warrant that you have the right to each part of submitted content.
You agree to indemnify and hold harmless Last Play Distro and its partners from any claims, damages, or legal fees if your content infringes any laws or the rights of others.

8. Limitation of Liability

Services are provided "as is," without warranty of uninterrupted availability or placement (playlisting, store acceptance is never guaranteed).
We assume no liability for content removed by platforms, interruptions, digital platform decisions, unofficial sync/usage, or indirect damages.

9. Dispute Resolution

In case of any dispute regarding these terms or payouts, parties will try to settle by direct discussion first.
If unresolved, either party may seek arbitration under The Arbitration and Conciliation Act, 1996 (India) in Rajasthan, India. Decision of arbitrator will be final.
Artist may pursue legal remedies if required by law.

10. Term & Termination

Agreement is perpetual until you request content takedown/account closure.
After termination, all outstanding royalties due will be paid within 60 days, and all your content will be removed from stores as soon as partner platforms allow.
We may limit/suspend/terminate accounts in case of repeated serious violations.

11. Updates & Amendments

We may update this agreement for legal or policy reasons; changes will be published on the website, and you will be notified by email or dashboard notice.
Continued use after update means acceptance of new terms.

12. Governing Law & Jurisdiction

This agreement follows Indian law. Disputes are subject to courts in Rajasthan, India.
